Java 300 Terms & Conditions

Operating entity: Startup Networks SAPI de CV

Commercial brand: Java Times Caffé / Java 300

This document governs the use of the platform, the acquisition of participations, the corporate relationship, complementary programs and the treatment of personal data within the Java 300 system.

By registering, using the app or acquiring participations, the user expressly accepts these Terms and Conditions.

1. Project Identity

Java 300 is a collective participation system operated by Startup Networks SAPI de CV, a company legally constituted under Mexican law.

Java Times Caffé is the commercial brand under which the project's coffee shop system operates.

All corporate, administrative, contractual and operational management of the Java 300 system is carried out exclusively by Startup Networks SAPI de CV.

2. Acceptance of Terms

By registering, investing or using the official Java 300 app, the user expressly, freely and voluntarily accepts these Terms and Conditions, as well as the legal, fiscal and privacy policies available within the app.

If the user does not agree with these terms, they should not make any investment or use the system.

3. Participation Requirements (KYC)

To become a partner, the investor must provide valid information and documentation that verifies their identity, address and tax status, in accordance with current regulations.

Required documentation includes, but is not limited to:

  • Valid official identification (INE or passport)
  • CURP
  • RFC (Tax ID)
  • Recent proof of address
  • Birth certificate
  • Tax status certificate
  • Letter of lawful origin of funds
  • Digitally signed participation contract

The lack of any of these documents may delay, suspend or prevent the user's integration as a partner.

4. Nature of Participation

The partner acquires real participations within the share capital of Startup Networks SAPI de CV.

The partner does NOT acquire:

  • A franchise
  • A specific store
  • Guaranteed returns
  • Fixed interest

The partner's participation is proportional to the total Java 300 system and depends solely on the actual performance of the project.

5. Distribution of Participations

The share capital of the Java 300 system is composed of 120,000,000 participations, distributed as follows:

  • 84,000,000 participations allocated to investor partners
  • 36,000,000 participations assigned to founders under an institutional vesting scheme

Founder participations are subject to restrictions that prevent their free or massive sale.

6. Profit Model

Java 300 operates under a proportional distribution scheme based on the actual performance of the coffee shops.

No guaranteed amounts exist.

Results depend exclusively on the actual operation of the system.

Each partner receives a proportion equivalent to: Partner's participations / 120,000,000

7. Risks

The partner acknowledges and accepts that all investment involves risks, including but not limited to:

  • Operational risks
  • Market risks
  • Regulatory changes
  • Economic variations

Past performance does not guarantee future results.

8. Affiliate System

Java 300 has an affiliate system that allows partners to earn commissions by referring new investors, under specific terms visible in the app.

Commissions:

  • Do not constitute financial returns
  • Are subject to minimum requirements
  • May be modified according to corporate decisions

9. Taxation

All profit withdrawal requests will be subject to applicable tax withholdings under current Mexican legislation.

The company will make the corresponding withholding and report to the competent tax authority.

10. Privacy & Data Protection

Partner information is collected, stored and protected in accordance with the Privacy Policy available in the official app.

The company does not sell or share personal information with third parties, except as required by law.

11. App Usage

The official Java 300 app is the only authorized means to:

  • View participations
  • Sign documents
  • Check profits
  • Access legal documents

Use of the app implies full acceptance of these terms.

12. Limitation of Liability

Neither Java Times Caffé, nor Startup Networks SAPI de CV, nor their founders shall be liable for indirect losses, consequential damages or unfulfilled profit expectations.

13. Modifications

Startup Networks SAPI de CV reserves the right to modify these Terms and Conditions at any time.

Updates will be notified within the app.

14. Jurisdiction

These terms are governed by Mexican law.

Any dispute shall be submitted to the competent courts of the Mexican Republic.

15. Final Acceptance

By using the app or participating in Java 300, the partner declares having read, understood and accepted all of these Terms and Conditions.

All detailed information about the Java 300 system is protected and available exclusively within the official app for partner security.

Java 300 is not a promise.

It's a business system in operation.

The information is clear.

The rules are public.

The decision is personal.
